Terms of Service

These terms govern access to and use of the Inn Agent platform, operated by Inn Agent LLC.

The platform is intended for businesses in the hospitality sector. It is not a consumer service: guests interact with the hotel, not with us.

1. What the platform is

Inn Agent is a software layer that connects to the systems a hotel already uses — its property management system, messaging channels and campaign tools — to automate guest service, centralise information and produce indicators.

We are not a property management system, not a sales channel, and not a replacement for the client's systems. We operate on top of them.

2. Engagement

Access to the platform arises from a specific agreement with each client, setting out the licensed modules, term, fees and commercial conditions. Where that agreement and these terms conflict, the agreement prevails.

3. Accounts and access responsibility

  • Credentials are personal and non-transferable.
  • The client is responsible for actions taken with its users' credentials.
  • The client must report any suspected unauthorised access immediately.
  • We may suspend access where there is a concrete risk to the security of the platform or the data it holds.

4. Acceptable use

The client agrees not to:

  • Use the platform to send unsolicited or bulk messages, or messages that breach the policies of integrated channels, in particular those of the WhatsApp Business Platform.
  • Load personal data into the platform without an adequate legal basis.
  • Attempt to access another client's data, circumvent isolation controls, or test the platform's security without written authorisation.
  • Reverse engineer, resell or sublicense access absent a contractual provision allowing it.

5. Third-party channels

Parts of the platform depend on third-party services — among them the WhatsApp Business Platform, the client's property management system, and campaign platforms. Use of those channels is subject to the respective providers' policies and pricing.

Where the integration model requires it, the messaging provider account belongs to the hotel itself, and message costs are billed to it directly by the provider. Policy changes, outages or blocks imposed by those third parties are outside our control.

6. Automated guest service

The artificial intelligence agent answers on the basis of information available in the hotel's systems and the instructions the hotel configures. Automated answers may contain inaccuracies.

The hotel is responsible for keeping the data that feeds the agent correct — rates, availability, policies and descriptions — and for reviewing the escalation settings for human service. We recommend human oversight for operations with financial effect.

7. Ownership of data and software

Data entered by the client and its guests' data are and remain the client's. On termination they are returned or deleted as the client instructs, subject to statutory retention periods.

The platform's software, architecture, brand and documentation are ours. The agreement grants a right of use for its term; it does not transfer ownership.

8. Availability

We work to keep the platform continuously available, with maintenance windows announced in advance where possible. Specific service level commitments, where they exist, are set out in the client's agreement.

9. Limitation of liability

To the fullest extent permitted by applicable law, we are not liable for lost profits, lost commercial opportunity or indirect damages. Our total liability is limited to the amount paid by the client in the twelve months preceding the event giving rise to it.

Nothing in this clause excludes liability for wilful misconduct, fraud, or obligations that the law does not permit to be limited.

10. Term and termination

The term follows the client's agreement. We may terminate access for material breach of these terms left uncured after notice, or for non-payment, under the contractual conditions.

11. Changes to these terms

We may amend these terms to reflect changes to the platform or to the law. Material changes are communicated to clients by email with reasonable notice.

12. Governing law and jurisdiction

These terms are governed by the law applicable at the company's seat, and the competent forum is the one set out in each client's agreement.
